College of Law Alumni Board Constitution and By-Laws

Article I: Name

The name and title of this Association shall be the Loyola University New Orleans College of Law Alumni Association.

Article II: Purpose

The objects and purposes of this Association are:

  • To foster a spirit of union between the members of the alumni and thus carry into their fields of endeavor a spirit of cooperation and fellowship
  • To establish and maintain an effective relationship between the College of Law and its alumni
  • To provide a vigorous body for sustaining and promoting the growth, development and welfare of the College of Law
  • To cooperate in every reasonable way in the work of the College of Law and the activities of its students

Article III: Membership

Membership in the Association shall include all persons who have attended at least two semesters in the College of Law and have obtained a juris doctor degree or its equivalent.

Article IV: Governing Board

SECTION 1

The governing Board shall consist of twelve (12) directors selected from the members of the Association, the (4) officers of the Association, and the chairs of selected Committees. The directors shall serve terms of one (1) year beginning on the first day of August of each year. Chairs of Committees may be, but are not always required to be Governing Board Directors. The directors and Committee chairs may serve consecutive terms, without limitation. The Committee chairs who are not Governing Board Directors shall not be entitled to vote at any Governing Board meeting or committee meeting. Each Governing Board Director is expected to attend a minimum of 50% of all annual Law Alumni activities, including but not limited to: Quarterly Board Meetings, Annual Luncheon, Alumnae Tea, Bar Convention Reception, Reunion Weekend Activities. Additionally, Each Governing Board Director is expected to make an annual contribution to the Loyola fund of their choice.

SECTION 2

The president of the Student Bar Association of the College of Law shall be invited to all meetings of the Governing Board, may participate in the discussions of the Governing Board and may serve on committees of the Governing Board, but shall not be entitled to vote at any governing Board meeting or committee meeting.

Article V: Officers

The officers of the Association shall include a President, Vice President, Secretary and Treasurer. The officers shall serve terms of one (1) year, beginning on the first day of August of each year. The officers may serve two consecutive terms.

Article VI: Committees

SECTION 1

The Governing Board shall have the following Committees:

  • Nominating
  • Bar Convention Reception
  • Annual Luncheon
  • Fundraising
  • Young Alumni

The Governing Board may abolish or create Committees at any time. The President shall appoint a chair of each of the Committees set forth in this Section, subject to approval by the Board.

SECTION 2

The Nominating Committee shall be appointed by the President and shall have the responsibilities set forth in Article VIII. The Nominating Committee shall consist of a chairman, the President, the immediate past president of the Association, the chairman of the Association’s Young Alumni committee, and two additional members of the Association.

SECTION 3

The Young Alumni Committee shall foster involvement of the Young Alumni in the Association and shall address the concerns of the Young Alumni. The Young Alumni shall include any member of the Association who has been a member for less than ten years.

SECTION 4

The Bar Convention Reception Committee shall coordinate the cocktail party held annually in connection with the annual meeting of the Louisiana State Bar Association.

SECTION 5

The Fundraising Committee shall be chaired by the Vice President of the Association. This committee shall support the University’s fundraising efforts for the College of Law, including the Annual Fund.

SECTION 6

The Annual Luncheon Committee shall coordinate the annual luncheon meeting of the Association.

SECTION 7

Each Committee shall be entitled to establish any subcommittees deemed necessary to accomplish its objectives.

Article VII: Organizations

Any group of members organized for a specific purpose in keeping with the objects and purposes of the Association as set forth above may petition the Governing Board for recognition as an organization. The Governing Board may recognize or rescind the recognition of these organizations by a majority vote of those in attendance at any meeting. Each of these organizations must have a chair selected annually by the members of the organization, and said chair must report annually to the Governing Board as to the activities of the organization; however, the chair of these organizations shall not have voting rights on the Governing Board. Each of these organizations must keep its own records.

Article VIII: Election Of Officers And Directors, Vacancies

SECTION 1

The President shall cause a notice requesting nominations for officers or directors to be published in any mailing or publication sent to substantially all of the members of the Association prior to November 1st of each year. The notice shall direct that all nominations shall be forwarded to the chair of the Nominating Committee for consideration by the Nominating Committee. The Nominating Committee shall thereafter meet and recommend to the Governing Board a slate of candidates for election as officers and directors of the Association. The slate of candidates for election as officers and directors shall be voted upon at the meeting of the Governing Board to be held prior to the Annual Meeting of the Association each year. The Governing Board must call for and receive nominations for the Board and the officers from the floor. The Governing Board shall then present the slate of officers and directors for ratification at the Annual Meeting of the Association.

SECTION 2

It shall not be necessary to vote for the President of the Association, as the Vice President shall automatically succeed to this office. In the event the Vice President is not able to succeed to the officer of President, the Governing Board shall select a president and vice president.

SECTION 3

All vacancies occurring in the Governing Board or among the officers may be filled for the unexpired term by a vote of the Board at any time.

Article IX: Meetings Of The Board And Association

SECTION 1

The Governing Board shall meet as needed to conduct the business and affairs of the Association, and in addition shall meet upon the call of the President or at the request of any five members of the Governing Board. Reasonable notice of any Governing Board meeting shall be provided to all members of the Board.

SECTION 2

A quorum shall not be required for the Governing Board to conduct its business and all business may be approved by a majority vote of those in attendance, unless otherwise specified. Proxies shall not be allowed.

SECTION 3

Meetings of the Governing Board shall be open to every member of the Association. However, the Governing Board may convene in executive session when appropriate.

Article X: Annual Meeting

The Annual Meeting of the Association shall be held in January of each year, or as soon thereafter as practical.

Article XI: Repeal Or Amendment Of Bylaws

These bylaws may be repealed or amended at any meeting of the Governing Board by a majority vote of the members of the Governing Board in attendance at any meeting, provided that at least thirty (30) days written notification is provided to the members of the Governing Board of any proposed amendment.

Article XII: St. Ives Award

The governing Board may select a recipient of the St. Ives award, to be awarded at the Annual Meeting of the Association. The recipient of the award shall be:

  • A graduate of the College of Law.
  • An individual who represents the high standards of the profession of law.
  • An individual who has volunteered service to the University or the College of Law.
  • An individual who has furthered the cause of the College of Law or of the Association.

Article XIII: No Conflict With Other By-Laws

The bylaws of the Association shall not conflict with the bylaws or policies of the Alumni Association of Loyola University New Orleans, the College of Law or the University.
